These Terms and Conditions govern your access to and use of the Eagle Eye platform, including its websites, applications, software modules, plugins, AI-powered features, Subscriptions, cloud services, integrations, engineering tools, workflows, calculations, content, and related services operated by CSI Bangkok Co., Ltd.

By accessing, registering for, subscribing to, or using the Services, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms and all applicable laws and regulations. If you do not agree to these Terms, you must immediately discontinue access to and use of the Services.

Introduction

These Terms and Conditions (“Terms”) govern your access to and use of the Eagle Eye platform, including its websites, applications, software modules, plugins, AI-powered features, Subscriptions, cloud services, integrations, engineering tools, workflows, calculations, content, and related services (collectively, the “Services”) operated by CSI Bangkok Co., Ltd. (“CSI Bangkok”, “Company”, “we”, “our”, or “us”).

By accessing, registering for, subscribing to, or using the Services, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms and all applicable laws and regulations.

If you do not agree to these Terms, you must immediately discontinue access to and use of the Services. These Terms constitute a legally binding agreement between you and the Company.

The Services are intended primarily for engineering, architecture, construction, design, project management, Building Information Modeling (BIM), artificial intelligence-assisted workflows, technical collaboration, and related professional activities. Certain Services may be subject to additional terms, pricing schedules, Subscription plans, service descriptions, product-specific conditions, or usage limitations that are incorporated herein by reference.

Definitions

For purposes of these Terms:

Account
means a registered user account created for accessing or using the Services.
AI Output
means any response, recommendation, calculation, analysis, summary, workflow, automation, prediction, design, model, report, or other content generated through AI-powered features of the Services.
AI Services
means any artificial intelligence, machine learning, large language model, generative AI, automation, recommendation, calculation, prediction, summarization, chatbot, or related functionality made available through the Services.
Services
means the Eagle Eye platform and all related products, applications, plugins, software, cloud services, AI Services, integrations, APIs, Subscription, and associated functionality made available by the Company.
Subscription
means any paid, free, trial, promotional, enterprise, educational, or custom plan offered by the Company.
Third-Party Services
means any software, application, API, cloud service, payment processor, AI provider, integration, plugin, platform, or technology operated by a party other than the Company.
User Content
means all information, files, BIM models, project files, engineering data, prompts, drawings, calculations, documents, communications, images, videos, designs, and other content uploaded, submitted, generated, processed, transmitted, stored, or otherwise provided by users through the Services.

Acceptance of Terms

By accessing or using the Services, you represent and warrant that:

  1. you have the legal capacity and authority to enter into these Terms;
  2. you are at least the minimum legal age required in your jurisdiction to enter into a legally binding agreement;
  3. you are not prohibited from using the Services under applicable laws;
  4. all information provided to the Company is accurate, complete, and current; and
  5. your use of the Services will comply with these Terms, all applicable laws, regulations, professional standards, contractual obligations, and governmental requirements.

If you are accessing the Services on behalf of a company, organization, governmental authority, educational institution, or other legal entity, you represent and warrant that you have authority to bind such entity to these Terms.

By accessing, registering for, subscribing to, or using the Services, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms and all applicable laws and regulations. If you do not agree to these Terms, you must immediately discontinue access to and use of the Services.

Eligibility and User Accounts

To access certain features of the Services, you are required to register for an Account. You agree to provide complete, accurate, and current information and to update such information as necessary and you are solely responsible for:

  1. maintaining the confidentiality of login credentials;
  2. restricting access to your Account;
  3. all activities occurring under your Account; and
  4. maintaining appropriate security controls over devices used to access the Services.

You shall immediately notify the Company of any actual or suspected unauthorized use of your Account, credential compromise, security incident, or breach involving the Services.

The Company reserves the right to suspend, restrict, investigate, or terminate any Account that:

  1. violates these Terms;
  2. presents a security risk;
  3. engages in suspicious or fraudulent activities;
  4. compromises platform integrity; or
  5. otherwise exposes the Company to legal, operational, reputational, or regulatory risks.

Accounts are personal to the authorized user unless otherwise expressly permitted under an enterprise Subscription or written agreement with the Company.

Unauthorized credential sharing, account resale, account leasing, or account pooling is strictly prohibited.

Subscription Plans and Payments

  1. The Company reserves the right to modify Subscription plans, features, pricing, billing structures, usage limitations, storage allocations, AI usage quotas, service offerings, or related Subscription terms at any time. Existing active subscribers may retain their current pricing for the remainder of their current Subscription term unless otherwise notified by the Company.

    However, if a Subscription is canceled, expires, lapses, or is downgraded, any future reactivation or upgrade may be subject to the pricing and Subscription terms in effect at that time.

  2. You may cancel your Subscription at any time. Unless otherwise stated, cancellation will take effect at the end of the current billing period, and you will retain access to applicable paid features until the expiration of that period.

    If a recurring payment cannot be successfully processed, the Company may provide a limited grace period before restricting, suspending, or downgrading access to paid Services or features.

  3. Following cancellation, expiration, suspension, or downgrade of a Subscription, access to certain premium features, applications, plugins, AI-powered tools, integrations, project files, models, or related content may be limited, disabled, retained for a limited period, or deleted in accordance with the Company's operational policies and retention practices.

    Users are solely responsible for exporting or backing up their project files, models, other data and any User Content before cancellation, expiration, suspension, downgrade, or termination.

  4. Unless otherwise required under applicable laws, Subscription fees, usage fees, service fees, and other charges paid to the Company are non-refundable.

    To the maximum extent permitted under applicable laws, the Company shall not be responsible and liable for any loss of User Content, business interruption, project delays, inability to recover data, or other losses resulting from Subscription cancellation, expiration, suspension, downgrade, termination, retention practices, or deletion of data.

Permitted Use

You may use the Services only in accordance with these Terms and applicable laws and regulations. You agree not to, and shall not permit any third party to:

  1. copy, reproduce, distribute, license, sell, resell, lease, sublicense, assign, transfer, or commercially exploit the Services except as expressly permitted by the Company;
  2. reverse engineer, decompile, disassemble, modify, adapt, create derivative works from, or attempt to derive the source code, underlying technology, or proprietary functionality of the Services;
  3. scrape, crawl, harvest, or extract data from the Services using automated tools, scripts, bots, or similar technologies;
  4. use outputs generated by AI-powered features of the Services to train or develop competing artificial intelligence models, machine learning systems, or engineering software products;
  5. interfere with, disrupt, damage, or compromise the security, integrity, availability, or operation of the Services or related systems;
  6. attempt to gain unauthorized access to accounts, systems, servers, data, APIs, or networks associated with the Services;
  7. upload, transmit, distribute, or store malicious code, harmful software, corrupted files, or unlawful material through the Services;
  8. misuse Subscription access, improperly share account credentials, bypass licensing or usage restrictions, or attempt to circumvent technical limitations of the Services;
  9. use the Services in violation of intellectual property rights, privacy rights, contractual obligations, professional obligations, or applicable laws and regulations;
  10. use the Services in a manner that may harm the Company, the Services, other users, or third parties or the reputation, goodwill, business operations, or legal interests of the Company;
  11. access or use the Services in any jurisdiction where such access or use is prohibited, restricted, or unlawful under applicable Laws;
  12. use the Services for unlawful, fraudulent, deceptive, misleading, discriminatory, abusive, harmful, or malicious purposes; or
  13. use the Services in any manner that could expose the Company to legal, regulatory, operational, reputational, or cybersecurity risks.

Restricted Jurisdictions and Compliance with Local Laws

The Services may be accessible from jurisdictions worldwide. However, the Company makes no representation or warranty that the Services are lawful, available, appropriate, or permitted for use in every jurisdiction.

You are solely responsible for ensuring that your access to and use of the Services complies with all applicable laws and regulations, professional standards, licensing requirements, industry regulations, governmental requirements, and regulatory obligations applicable to you and your jurisdiction.

Users may not access, use, export, re-export, or otherwise make the Services available in violation of applicable export control laws, economic sanctions, trade restrictions, or other applicable laws and regulations.

If access to or use of the Services is prohibited, restricted, or otherwise unlawful under the laws of your jurisdiction, you must immediately discontinue such access and use.

The Company shall not be liable for any unauthorized, unlawful, prohibited, restricted, or non-compliant use of the Services by any user.

User Content and Uploaded Materials

  1. You retain ownership of the project files, engineering models, prompts, designs, documents, and other content that you upload, submit, generate, store, or process through the Services (“User Content”). Except for the limited rights expressly granted under these Terms, the Company does not claim ownership of your User Content.
  2. By uploading, submitting, generating, storing, or processing User Content through the Services, you grant the Company a limited, non-exclusive, royalty-free license to host, store, process, reproduce, transmit, display, and use such User Content solely for the purpose of operating, providing, maintaining, improving, securing, and supporting the Services. This license will terminate upon deletion of the applicable User Content or account, subject to applicable legal retention obligations and operational backup or retention practices.
  3. The Services may process and store account information, project files, model data, prompts, usage data, and related technical information as necessary to provide platform functionality, AI-powered features, calculations, integrations, storage, security, technical support, and related Services.
  4. Certain User Content associated with paid Subscription features may be retained for a limited period before deletion in accordance with the Company's operational policies. Users are solely responsible for exporting or backing up User Content before cancellation, downgrade, expiration, or deletion. To the maximum extent permitted under applicable laws, the Company shall not be responsible for loss of User Content resulting from such events.
  5. You represent and warrant that:
    1. you own or possess all rights, permissions, licenses, consents, and authorizations necessary to upload, process, store, transmit, and use the User Content through the Services;
    2. the User Content does not infringe, misappropriate, violate, or otherwise conflict with any intellectual property rights, privacy rights, publicity rights, confidentiality obligations, contractual obligations, or other rights of any third party;
    3. the User Content complies with all applicable laws; and
    4. the User Content does not contain unlawful, fraudulent, defamatory, misleading, malicious, harmful, discriminatory, obscene, offensive, infringing, or otherwise prohibited material.
  6. The Company does not routinely monitor User Content and shall not be responsible for reviewing, validating, verifying, or approving User Content uploaded by users.

AI Features and Engineering Disclaimer

  1. The Services may include AI-powered features, tools, workflows, automations, recommendations, calculations, summaries, engineering analyses, design assistance tools, and/or related functionality provided through integrations with third-party AI service providers, including OpenAI, Anthropic, Gemini, or other providers made available through the platform.
  2. Users may be able to select or switch between available AI providers depending on the functionality offered through the Services.
  3. The Company does not use user prompts, uploaded project data, or AI-generated outputs to train proprietary AI models.
  4. AI-generated outputs, calculations, recommendations, summaries, analyses, workflows, automations, engineering results, designs, and/or related responses are provided for informational and assistive purposes only and may contain inaccuracies, omissions, incomplete information, errors, inconsistencies or unexpected results.
  5. Users are solely responsible for independently reviewing, verifying, validating, testing, and exercising professional judgment regarding all AI-generated outputs, engineering calculations, recommendations, designs, workflows, analyses, or related content before relying on them for professional, commercial, engineering, architectural, construction, regulatory, safety, compliance, or project-related purposes.
  6. The Company does not guarantee the accuracy, completeness, reliability, availability, regulatory compliance, or suitability of AI-generated outputs for any specific purpose.
  7. The Services do not constitute engineering, architectural, construction, safety, compliance, project management, or other professional advice.
  8. Users remain solely responsible for obtaining all necessary professional reviews, approvals, permits, certifications, inspections, governmental authorizations, and regulatory compliance required for their projects.
  9. The Company shall not be liable for any decision, action, omission, project outcome, construction defect, design error, engineering miscalculation, code violation, permit issue, regulatory non-compliance, professional negligence claim, safety incident, financial loss, business interruption, or other damages arising from reliance upon AI-generated outputs or recommendations.
  10. The Company shall not be responsible for the performance, availability, functionality, outputs, decisions, actions, omissions, service interruptions, pricing changes, or operational changes of any third-party AI provider.

Important: AI-powered tools support but do not replace independent engineering judgment, verification, review, validation, or professional responsibility.

Intellectual Property Rights

  1. The Services, including the Eagle Eye platform, applications, plugins, AI-powered features, workflows, calculations, interfaces, APIs, templates, documentation, branding, logos, designs, software, source code, object code, databases, compilations, know-how, trade secrets, and related materials, are owned by or licensed to CSI Bangkok Co., Ltd. and are protected under applicable intellectual property and proprietary rights laws.
  2. Except for the limited rights expressly granted under these Terms, no ownership, license, or intellectual property rights in the Services are transferred to users.
  3. Subject to compliance with these Terms and any applicable Subscription requirements, users are granted a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services for authorized professional, educational, or internal business purposes.
  4. Users retain ownership of their User Content and may export, use, or commercially utilize their own project files, models, calculations, designs, prompts, or related outputs generated through the Services. However, users remain solely responsible for independently reviewing, verifying, and determining the suitability of such outputs for professional or commercial use.
  5. Except where expressly permitted by the Company or applicable laws, users may not:
    1. copy, reproduce, redistribute, resell, sublicense, or commercially exploit the Services or related materials;
    2. reverse engineer, decompile, disassemble, modify, or create derivative works based on the Services;
    3. remove, alter, or obscure proprietary notices, branding, or intellectual property markings;
    4. use the Services or related materials to develop competing products, Services, software, AI systems, machine learning models, or related technologies; or
    5. register, claim, or attempt to acquire any intellectual property rights in relation to the Services or any portion thereof.
  6. Certain features or components of the Services may incorporate third-party software, technologies, integrations, or licensed materials that remain subject to the intellectual property rights and license terms of their respective owners.

Confidentiality

  1. Each party shall maintain the confidentiality of any non-public, confidential, proprietary, technical, commercial, financial, operational, security-related, or trade secret information disclosed by the other party in connection with the Services (“Confidential Information”).
  2. The receiving party shall use Confidential Information solely for purposes related to the use, provision, operation, maintenance, support, or administration of the Services and shall not disclose such Confidential Information to any third party except:
    1. with the prior written consent of the disclosing party;
    2. to its employees, contractors, professional advisors, affiliates, or service providers who have a legitimate need to know and are bound by confidentiality obligations;
    3. where required by applicable laws, court orders, governmental authorities, or regulatory requirements; or
    4. as otherwise permitted under these Terms or the Privacy Policy.
  3. The obligations contained in this section shall not apply to information that:
    1. is or becomes publicly available through no fault of the receiving party;
    2. was lawfully known by the receiving party prior to disclosure;
    3. is independently developed without use of the Confidential Information; or
    4. is lawfully obtained from a third party without breach of any confidentiality obligation.
  4. Nothing in this section shall prevent the Company from processing, storing, transmitting, analyzing, securing, or otherwise using User Content and related information as reasonably necessary to provide, maintain, support, secure, improve, and operate the Services in accordance with these Terms and the Privacy Policy.

Third-Party Services and Integrations

  1. The Services may support integrations, plugins, APIs, model viewers, AI-powered features, payment Services, cloud Services, or related functionality provided by third-party providers or external Services. The availability and functionality of certain features may depend on third-party systems, software or technologies that are not controlled by the Company.
  2. When you use third-party integrations or connected platform features, certain account information, project files, model data, prompts, technical information, or related content may be processed as necessary to provide the requested functionality, calculations, rendering, storage, integrations, AI-powered features, or related Services.
  3. Third-Party Services may change, restrict, suspend, discontinue, or modify their systems or functionality from time to time. The Company shall not be responsible for loss of User Content resulting from such events.

    The Company shall not be responsible for any loss, interruption, delay, degradation, incompatibility, or unavailability resulting from such changes.

  4. Your use of Third-Party Services may be subject to separate agreements, terms of service, privacy policies, license terms, or other requirements imposed by the relevant third-party providers.
  5. The Company does not endorse, warrant, guarantee, or assume responsibility for any Third-Party Services.

Availability and Modifications

  1. The Company may update, modify, expand, suspend, improve, redesign, discontinue, replace, or remove certain features, applications, plugins, integrations, workflows, AI-powered functionalities, engineering tools, BIM tools, or related Services from time to time.
  2. As the Eagle Eye platform evolves, certain interfaces, workflows, tools, integrations, functionalities, calculations, automations, APIs, AI models, or other components may change, be reorganized, replaced, deprecated, or discontinued. The Company does not guarantee that any specific feature, interface, workflow, integration, AI model, calculation methodology, or functionality will remain permanently available or unchanged.
  3. The Services may occasionally experience temporary interruptions, maintenance downtime, updates, security measures, technical issues or other operational disruptions. To the maximum extent permitted under applicable laws, the Company shall not be responsible for temporary unavailability, interruptions, delays, degraded performance, loss of functionality, or operational issues resulting from such events.
  4. The Company reserves the right to modify Subscription plans, pricing, features, billing structures, usage limitations, service offerings, storage limits, AI usage limits, or related commercial terms at any time. Existing active subscribers may retain their current Subscription pricing following future pricing changes. However, if a Subscription is canceled, expires, lapses, or is downgraded, any future reactivation or upgrade may be subject to the pricing and Subscription terms in effect at that time.

Disclaimer of Warranties

  1. To the maximum extent permitted under applicable laws, the Services are provided on an “as is”, and “as available” basis.
  2. The Company disclaims all warranties, representations, conditions, and guarantees of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, reliability, availability, security, quality, performance, or uninterrupted operation.
  3. The Company does not warrant the accuracy, completeness, reliability, validity, regulatory compliance, or suitability of any AI Output, engineering calculation, design, recommendation, analysis, workflow, automation, model, or other content generated through the Services.

Limitation of Liability

  1. To the maximum extent permitted under applicable laws, CSI Bangkok Co., Ltd., its directors, employees, licensors, contractors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to the use of, or inability to use, the Services. This includes, without limitation: (a) loss of profits, (b) loss of revenue, (c) loss of business opportunities, (d) loss of data, (e) project delays, (f) business interruption, or (g) other commercial or technical losses.
  2. To the maximum extent permitted under applicable laws, the total liability of the Company arising out of or relating to the Services or these Terms shall not exceed the total Subscription fees actually paid by you to the Company for the applicable Services during the twelve (12) months preceding the event giving rise to the claim.
  3. You acknowledge that the Services, including AI-powered features, engineering tools, calculations, plugins, and related functionality, are provided as professional support tools and do not replace independent engineering judgment, verification, review, or professional responsibility. The Company shall not be liable for any loss arising from, including but not limited to: (a) user errors, (b) project failures, (c) design defects, (d) engineering decisions, (e) construction outcomes, (f) regulatory non-compliance, (g) permit issues, (h) reliance on AI Output, (i) Third-Party Services, (j) cybersecurity incidents, (k) force majeure events, or (l) acts or omissions of third parties.
  4. The limitations set out in this section form an essential basis of the agreement between you and the Company and reflect the allocation of risk associated with the provision of the Services.
  5. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless the Company, its affiliates, subsidiaries, directors, officers, employees, contractors, licensors, service providers, successors, and assigns from and against any and all claims, actions, proceedings, liabilities, damages, losses, costs, expenses, penalties, fines, judgments, settlements, and reasonable legal fees arising out of or relating to:

  1. your violation of these Terms;
  2. your violation of applicable laws;
  3. your reliance upon AI Output, calculations, recommendations, analyses, workflows, designs, engineering results, or related content;
  4. infringement or alleged infringement of third-party intellectual property rights, privacy rights, confidentiality obligations, contractual obligations, or other legal rights; or
  5. any project, engineering, design, construction, commercial, operational, or business activities undertaken using the Services.

Suspension and Termination

  1. The Company reserves the right to suspend, restrict, disable, investigate, or terminate access to the Services, accounts, Subscription, applications, plugins, AI-powered features, or related functionality at its reasonable discretion if:
    1. you violate these Terms or applicable policies;
    2. payment cannot be successfully processed or a chargeback or dispute occurs;
    3. unauthorized account sharing, misuse, or suspicious activity is detected; or
    4. your use of the Services negatively affects the security, stability, integrity, or operation of the platform or related systems;
    5. the Company is required to do so by applicable Laws, governmental authorities, regulators, courts, or law enforcement agencies; or
    6. the Company reasonably believes that continued access may expose the Company, other users, third parties, or the Services to legal, regulatory, operational, cybersecurity, financial, or reputational risks.
  2. Unless otherwise required under applicable laws, the Company shall not be obligated to provide refunds following suspension or termination resulting from violations of these Terms.
  3. You may stop using the Services or cancel your Subscription at any time through your Account or billing settings, subject to any applicable Subscription terms.
  4. Certain features, plugins, applications, integrations, AI-powered tools, storage functionality, or premium functionality may require an active paid Subscription. If a Subscription expires, is canceled, downgraded, suspended, terminated, or cannot be successfully renewed, access to certain paid features or Services may be suspended, restricted, downgraded, or disabled.
  5. Upon cancellation, expiration, suspension, downgrade, or termination of a Subscription or Account:
    1. access to certain Services, applications, plugins, integrations, storage functionality, or premium features may be restricted or disabled;
    2. project files, saved data, prompts, models, or related User Content may become inaccessible or subject to deletion in accordance with the Company's retention policies;
    3. certain financial, accounting, tax, transaction, security, or legal records may continue to be retained where required under applicable laws or legitimate operational requirements.
  6. Users are solely responsible for exporting or backing up any User Content before cancellation, downgrade, expiration, termination, or deletion.

Force Majeure

The Company shall not be liable for any delay, interruption, suspension, degradation, failure, unavailability, loss of functionality, or inability to provide the Services resulting from causes beyond its reasonable control, including, (a) acts of God, (b) natural disasters, (c) floods, earthquakes, storms, fires, or other natural events, (d) epidemics, pandemics, public health emergencies, or disease outbreaks, (e) war, terrorism, civil unrest, riots, or governmental actions, (f) labor disputes or strikes, (g) internet failures, telecommunications failures, utility failures, or infrastructure failures, (h) cyberattacks, hacking incidents, denial-of-service attacks, ransomware attacks, malware incidents, or other cybersecurity events, (i) outages, failures, interruptions, restrictions, pricing changes, or operational changes of Third-Party Services, cloud service providers, hosting providers, AI providers, payment processors, telecommunications providers, or other third-party infrastructure, (j) embargoes, sanctions, export restrictions, or changes in applicable laws, or (k) any other event beyond the reasonable control of the Company.

Changes to Terms

  1. The Company reserves the right to modify, amend, supplement, update, replace, or otherwise revise these Terms at any time.
  2. Updated versions of these Terms shall become effective upon publication through the Company's website, or other reasonable means of notice unless otherwise stated.
  3. Your continued access to or use of the Services following publication of revised Terms constitutes your acceptance of such revised Terms.
  4. If you do not agree to any revised Terms, you must discontinue access to and use of the Services.

Survival

The provisions of Intellectual Property Rights, Confidentiality, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and any provisions which by their nature are intended to survive shall survive any expiration, suspension, cancellation, termination, discontinuation, or cessation of the Services, any Subscription, or these Terms.

Governing Law

These Terms and any disputes arising out of or relating to the Services shall be governed by and construed in accordance with the laws of the Kingdom of Thailand, without regard to conflict of law principles.

To the maximum extent permitted under applicable laws, any dispute, claim, or legal proceeding arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts located in Bangkok, Thailand.

To the maximum extent permitted under applicable laws, any claim arising out of or relating to the Services or these Terms must be brought within one (1) year from the date the claim arose, otherwise such claim may be permanently barred.
